Terms & Conditions

Introduction

These Terms & Conditions apply exclusively to business customers (B2B) purchasing Moalie products via our wholesale channels, including orders placed through our website, by email or via other direct wholesale agreements.

At Moalie, we value clear and professional partnerships. These Terms & Conditions are intended to ensure transparency and protect both parties, allowing us to focus on creating premium knitwear for babies and toddlers.


1. Definitions

  • Moalie: Moalie, registered in the Netherlands.

  • Retailer: Any business customer acting in the course of trade or profession.

  • Agreement: Any wholesale agreement, order or delivery between Moalie and the Retailer.

  • Products: All goods supplied by Moalie.


2. Applicability

2.1 These Terms & Conditions apply to all offers, quotations, orders, agreements and deliveries between Moalie and the Retailer.
2.2 Any general terms and conditions used by the Retailer are expressly excluded unless agreed in writing by Moalie.
2.3 By placing a wholesale order or entering into a wholesale agreement, the Retailer accepts these Terms & Conditions.


3. Orders & Minimum Order Value

3.1 All wholesale orders are binding once confirmed by Moalie.
3.2 Moalie reserves the right to refuse or cancel orders without stating reasons.
3.3 Orders cannot be cancelled or modified after confirmation unless agreed in writing.

3.4 Moalie applies a Minimum Order Value (MOV) for first-time and/or recurring wholesale orders.
Applicable values are communicated separately via price lists, quotations or wholesale correspondence and may be amended from time to time.


4. Prices

4.1 All prices are stated excluding VAT, unless explicitly stated otherwise.
4.2 Prices may be adjusted at any time and do not apply retroactively to confirmed orders.
4.3 Obvious pricing or typographical errors are not binding.


5. Payment Terms, Reminders & Retention of Title

5.1 Payment terms are agreed individually and may include prepayment or payment on invoice.
5.2 Invoices must be paid within the agreed payment term.

5.3 All Products remain the property of Moalie until the Retailer has fulfilled all payment obligations toward Moalie in full, in accordance with Article 3:92 of the Dutch Civil Code (retention of title).

5.4 In the event of late payment, Moalie is entitled to charge statutory commercial interest and reasonable collection costs as permitted under Dutch law.

5.5 Moalie reserves the right to suspend pending deliveries and refuse new orders as long as the Retailer has outstanding overdue invoices.

5.6 If payment is not received by the due date, Moalie may charge a fixed administrative fee of €10 per payment reminder, without prejudice to its right to claim statutory interest and further collection costs.


6. Delivery

6.1 All wholesale orders are shipped from the Netherlands.
6.2 Delivery times are indicative and shall never be considered strict deadlines.
6.3 Moalie is not liable for delays caused by carriers or circumstances beyond its control.
6.4 Risk of loss or damage transfers to the Retailer at the moment the Products are handed over to the carrier.


7. Shipping

7.1 Shipping costs and free shipping thresholds are calculated per shipment based on the net order value (excluding VAT and shipping costs).
7.2 Shipping rates vary per destination and are communicated separately.
7.3 Moalie ships wholesale orders within the EU. Shipments outside the EU require a custom quotation.


8. Inspection & Complaints

8.1 The Retailer must inspect the Products immediately upon receipt.
8.2 Any visible defects, shortages or damages must be reported in writing within 5 working days after delivery.
8.3 Complaints submitted after this period will not be accepted.
8.4 Minor deviations in colour, material or finish are considered acceptable and do not constitute a defect.


9. Returns

9.1 Wholesale orders are non-returnable, unless explicitly agreed in writing.
9.2 Returned Products without prior written approval will not be accepted and remain at the Retailer’s risk.


10. Brand Protection & Sales Channels

10.1 Retailers are permitted to sell Moalie Products exclusively via their own physical retail store(s) and/or their own official webshop.

10.2 Selling Moalie Products via third-party marketplaces or platforms (including but not limited to Amazon, Bol.com, eBay, Zalando or similar) is strictly prohibited without prior written consent from Moalie.

10.3 Retailers are expected to present Moalie Products in a manner consistent with the brand’s premium positioning.


11. Pricing & Discount Policy (MSRP)

11.1 Moalie provides a Manufacturer’s Suggested Retail Price (MSRP). Retailers are encouraged to follow this pricing structure.

11.2 Significant discounting of current collections is only permitted during official seasonal sale periods or with prior written approval from Moalie.


12. Liability

12.1 Moalie’s liability is limited to direct damages and shall never exceed the invoice value of the Products concerned.
12.2 Moalie is not liable for indirect or consequential damages, including loss of profit or business interruption.
12.3 Nothing in these Terms & Conditions excludes liability that cannot be excluded under Dutch law.


13. Force Majeure

13.1 Moalie is not liable for failure to perform obligations due to force majeure, including supplier delays, transport disruptions, strikes or governmental measures.
13.2 In such cases, Moalie may suspend or terminate the Agreement without liability.


14. Intellectual Property

14.1 All intellectual property rights relating to Moalie Products, designs, images and branding remain the exclusive property of Moalie.
14.2 Retailers may only use Moalie materials for the purpose of selling Moalie Products, unless agreed otherwise in writing.


15. Confidentiality

15.1 All pricing, collections and commercial terms shared by Moalie are confidential.
15.2 Disclosure to third parties is prohibited without prior written consent.


16. Governing Law & Jurisdiction

16.1 All Agreements between Moalie and the Retailer are governed exclusively by Dutch law.
16.2 Any disputes shall be submitted exclusively to the competent court in the Netherlands.


17. Amendments

17.1 Moalie reserves the right to amend these Terms & Conditions at any time.
17.2 The most recent version shall always apply.
